TERMS OF SERVICE

These terms are written to be read, not just signed. If something doesn't make sense or seems unfair, bring it up — we'd rather clarify upfront than have a disagreement later.
OVERVIEW
These terms govern all projects and services provided by Praytex (operated by Prayash, Surat, Gujarat, India). By engaging Praytex for any service, you agree to these terms.
These are meant to be straightforward — not a legal maze. If anything is unclear, ask before work begins.
PROJECT AGREEMENT
Every project starts with a scoping discussion. Before any work begins, we agree in writing on:
- —The full scope of work — features, screens, integrations, and deliverables
- —The fixed project price
- —The estimated timeline and milestones
- —Payment terms — typically split between project start and delivery
Work begins only after the scope and price are agreed upon. No work is done on assumption or verbal agreement alone.
PRICING & PAYMENT
All prices are fixed and agreed upfront. We do not charge hourly rates. The price you agree to is the price you pay — no hidden fees, no change orders unless you add new scope after agreement.
Payment is typically structured as a deposit before work begins and a final payment on delivery. Specific terms are agreed per project and documented in the project agreement.
If new features or changes are requested beyond the agreed scope, they are scoped and quoted separately before work proceeds.
TIMELINES & DELIVERY
Timelines are estimated honestly based on project scope and current workload. We do not pad timelines or make promises we cannot keep.
Delays on your end — late content, feedback, approvals, or access — will extend the timeline accordingly. We will communicate any such adjustments promptly.
We will notify you as soon as possible if any unexpected issue affects the agreed timeline.
INTELLECTUAL PROPERTY
Upon full payment, you own the final deliverable — the source code, design files, and all project assets created specifically for your project.
Praytex retains the right to use the project as a portfolio reference (e.g., describing the type of work done) unless you request confidentiality in writing. We will never share proprietary business data or sensitive information.
Any third-party libraries, frameworks, or open-source tools used in the project remain governed by their respective licenses.
POST-LAUNCH SUPPORT
The first 30 days after project delivery include bug fixes at no additional charge. A bug is defined as the software not functioning as agreed in the original scope.
New features, design changes, integrations, or modifications requested after delivery are treated as new work and scoped and quoted separately.
Long-term maintenance, hosting, or retainer arrangements are available and agreed separately.
YOUR RESPONSIBILITIES
To ensure smooth delivery, you agree to:
- —Provide accurate and complete information about your business requirements
- —Supply content, credentials, and access necessary for the project in a timely manner
- —Review and provide feedback on deliverables within a reasonable timeframe
- —Make payments according to the agreed schedule
- —Inform us of any significant changes to requirements before they affect work in progress
CANCELLATION
Either party may cancel the project with written notice. If you cancel after work has begun, payment is due for work completed up to the cancellation date, based on the agreed project price and progress made.
If Praytex cancels for reasons within our control, any deposit paid for work not yet completed will be refunded.
LIMITATION OF LIABILITY
Praytex's liability is limited to the amount paid for the specific project in question. We are not liable for indirect, incidental, or consequential damages, including loss of business, revenue, or data.
We build with care and quality, but we cannot guarantee that software will be error-free under all possible conditions. We will fix issues that fall within the agreed scope and support period.
CONFIDENTIALITY
Any business information, data, pricing, workflows, or trade information you share with us during the project will be treated as confidential and will not be disclosed to any third party.
This applies both during and after the project, indefinitely.
GOVERNING LAW
These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of the courts in Surat, Gujarat, India.
We prefer to resolve any disagreements directly and in good faith before any formal process. Reach out first — most issues can be resolved with a conversation.
CHANGES TO THESE TERMS
These terms may be updated from time to time. Active projects are governed by the terms in effect at the time the project agreement was signed. Updated terms apply to new projects only.
